Terms and Conditions
The following assumptions have been made regarding your project, which will affect proposal items including but not limited to: the cost estimate, deliverables, production schedule and project staffing.
- The project will be processed/completed at the developer’s office, or other MINIMUM CODE CULTURE PRIVATE LIMITED designated contractor’s office.
- No delays will be caused by the unavailability of the client’s technical and functional resources to review documents, provide answers to questions, and participate in meetings, training sessions, and testing activities. If the client is unresponsive and feedback is not provided, then MINIMUM CODE CULTURE PRIVATE LIMITED has the right to terminate the project upon notice.
- The production of the website will be deemed completed upon launching the site on the Internet and making it accessible in the public domain. The final payment is due before the launch of the website project.
- “Changes to Scope of Work” Clause:
Project costing is more likely to increase in case of any changes/addition to our previously committed “Statement of Work”, which would require extra time and resources to adhere to new requests and its parameters, as suggested by the client.
The Client can be billed anywhere between 150$ to 350$/hour, depending upon the complexity of changes or else an extra fixed price component will be introduced to fulfil the payment objective on behalf of the extra work suggested by the client.
- In the event of your cancellation of this project, or any delay of more than 30 days (working and non-working) in responding to MINIMUM CODE CULTURE PRIVATE LIMITED request for information or review/approval of proofs,MINIMUM CODE CULTURE PRIVATE LIMITED will have the option of terminating this agreement, and invoicing you for the greater of (1) all work completed up to the date of written notification, including expenses, at the rate of $150 per hour or such other rate as shall be specified in this agreement; or (2) the amount of any advance deposit made for this project. Any renewal of this project after termination will require a new agreement, fee schedule, and upfront deposit.”
- Pause Duration:
A maximum of 20 days of Project-hold will be approved by Minimum Code Culture Private Limited if notified by client, in case of medical emergencies. The client or a person in authority in place of client, should produce a valid medical document, to avail this facility of project-pause. Failing to notify and unresponsiveness for 15 consecutive working days from Client side, will lead to project termination.
- Termination:
This Agreement may be terminated by either party upon written notice to the other, if the other party breaches any material obligation provided hereunder and the breaching party fails to cure such breach within fifteen (15) working days of receipt of the notice. This Agreement may be terminated by MINIMUM CODE CULTURE PRIVATE LIMITED (i) immediately if Customer fails to pay any fees hereunder; or (ii) if Customer fails to cooperate with Company or hinders Company’s ability to perform the Services here under at MINIMUM CODE CULTURE PRIVATE LIMITED full discretion.
- The client will retain all intellectual property rights of source material (e.g. design, code, copy, photography) provided to MINIMUM CODE CULTURE PRIVATE LIMITED for use in connection with this project; however, Web content, design, and other work product created by the Consultant and similar products and materials will remain the property and copyright of until all fees under this agreement have been paid in full.
- It is the client’s responsibility to verify and or sign off on the production and testing of the web site within 7 business days of MINIMUM CODE CULTURE PRIVATE LIMITED notification of completion of the undertaken project.
- Stock Images & Icons:
If requested by the client, MINIMUM CODE CULTURE PRIVATE LIMITED will provide research and assistance on stock photography to be used in designing the website or other web base and marketing applications.MINIMUM CODE CULTURE PRIVATE LIMITED has a paid subscription to the Freepik website, which happens to be one of the largest providers of stock photos and icons. This website lets us use their resources for client work (copyright free, of course). If the client has a different choice for sourcing stock photos and icons, they are responsible to bear the costs incurred by such third-party stock imagery websites.
- Professional Photography/Videography Services:
If the Client opts for this service, Minimum Code Culture Private Limited expects clients and his team of employees to make themselves available at the specified date and time of the shoot at the discussed location (most specifically but not limited to the client’s office or workplace).
Rescheduling the shoot might result in delayed project delivery plus a rescheduling fee will be incurred by the client.
- Project Timeline:
If the Client opts for this service, MINIMUM CODE CULTURE PRIVATE LIMITED expects clients and his team of employees to make themselves available at the specified date and time of the shoot at the discussed location (most specifically but not limited to the client’s office or workplace).
Rescheduling the shoot might result in delayed project delivery plus a rescheduling fee will be incurred by the client.
- Project Timeline:
If the Client opts for this service, Minimum Code Culture Private Limited expects clients and his team of employees to make themselves available at the specified date and time of the shoot at the discussed location (most specifically but not limited to the client’s office or workplace).
Rescheduling the shoot might result in delayed project delivery plus a rescheduling fee will be incurred by the client.
- MINIMUM CODE CULTURE PRIVATE LIMITED cannot guarantee or promise any placement in search engines.
- For Custom Website Package:
Once the UX component is finalized by the client, MINIMUM CODE CULTURE PRIVATE LIMITED will move to the UI phase. Once the UI component is finalized by the Client, MINIMUM CODE CULTURE PRIVATE LIMITED will move to the development phase. There is no skipping allowed to previous phases of a website process as it hampers the flow of the project and it is hard to deliver the project within the specified time-frame. The client will get 3 iterations or more in each phase of the process to finesse that particular component to his liking.
- MINIMUM CODE CULTURE PRIVATE LIMITED never provides credentials of the website to their respective client, for whatever reason might be. Doing so helps MINIMUM CODE CULTURE PRIVATE LIMITED to keep the 5-year website maintenance guarantee intact. If in an unfortunate case, the client wishes to part ways with our company, we’ll hand over all the required credentials regarding the website to the Client, which will make the maintenance guarantee ‘null and void’.
- Site Content:
If the client chooses to opt for our professional copywriting services, MINIMUM CODE CULTURE PRIVATE LIMITED. will bear the full responsibility for the quality and completion of the content on-time. For content iteration/feedback, as a Client you are requested to review and address the content related suggestions to advance your project in a timely fashion.
If the Client opt’s out of our Professional copywriting services, he’ll be responsible to provide all site content once homepage layout is approved. MINIMUM CODE CULTURE PRIVATE LIMITED will fill any page on the website with “Lorem Ipsum” to properly show the page layout until real content is established. Text will be delivered to MINIMUM CODE CULTURE PRIVATE LIMITED in MS Word, Company Logo as an .EPS or high-resolution .JPG file and pictures if any as .JPG files.
- Client acknowledges that MINIMUM CODE CULTURE PRIVATE LIMITED does not launch websites on Fridays or days before a holiday.
- Client acknowledges that MINIMUM CODE CULTURE PRIVATE LIMITED will only fix any bug-related issues post-launch for a period of 30 days after the official live date. If the client makes any changes to the website code or hosts on servers other than MINIMUM CODE CULTURE PRIVATE LIMITED. approved servers that result in a website issue and/or vulnerability, MINIMUM CODE CULTURE PRIVATE LIMITED will not be liable to fix the bug without receiving compensation for time and resources.
- Web Design Contract Cancellation:
A non-refundable deposit is due at the time of the contract signing. Cancellation of any web design project by either party will result in a refund to the client of all fees paid beyond the deposit amount, minus the amount already incurred in the development of the project by the date of cancellation. Web design cancellation refunds will be processed and delivered within 15-20 business days of the cancellation date.
- If MINIMUM CODE CULTURE PRIVATE LIMITED ceases operations, files for bankruptcy protection, is the subject of the appointment of a receiver, or for any other reason, ceases to control MINIMUM CODE CULTURE PRIVATE LIMITED before the work on this contract is complete, all related work product shall be immediately delivered to Client and the contract shall be cancelled forthwith, without further recourse or payment.
- Indemnity:
A non-refundable deposit is due at the time of the contract signing. Cancellation of any web design project by either party will result in a refund to the client of all fees paid beyond the deposit amount, minus the amount already incurred in the development of the project by the date of cancellation. Web design cancellation refunds will be processed and delivered within 15-20 business days of the cancellation date.
- Client and MINIMUM CODE CULTURE PRIVATE LIMITED agrees to make a good-faith effort to resolve any disagreement arising out of, or in connection with, this Agreement through negotiation and Goodwill.
- Read and Understood:
Each Party acknowledges that it has read and understands this Agreement and agrees to be bound by its terms and conditions. - Duly Authorized Representative:
If this Agreement is executed then each Party warrants that their representative whose signature appears on such signature pages is the duly authorized by all necessary and appropriate corporate actions to execute this Agreement.
The Term “Confidential Information” Means:
- all information disclosed by Client to MINIMUM CODE CULTURE PRIVATE LIMITED in oral, written, graphic, recorded, photographic, machine-readable, or any other form related to or in connection with the website, including, without limitation, business plans, financial statements, trade secrets, customer information, existing or potential transactions with third parties, intellectual property rights, products, research and development, operations, website function, marketing, sales, pricing, and trade know-how whether or not such information is marked or labeled “Confidential” or “Proprietary”; and
- all information disclosed by Client to MINIMUM CODE CULTURE PRIVATE LIMITED in oral, written, graphic, recorded, photographic, machine-readable, or any other form related to or in connection with any actual, potential, or proposed arrangement, relationship, business opportunity, or transaction between Client and any third party whether or not such information is marked or labeled “Confidential” or “Proprietary.”
Confidential Information will be kept strictly confidential by MINIMUM CODE CULTURE PRIVATE LIMITED In no event will MINIMUM CODE CULTURE PRIVATE LIMITED uses the Confidential Information of Client for any purpose other than maintaining the website. No other rights, including, without limitation, licenses, trademarks, inventions, copyrights, patents, or any other intellectual property rights are implied or granted under this Agreement or by the conveyance of Confidential Information between the Parties. This Section shall survive the termination of this Agreement.
Each Party agrees that the term “Confidential Information” does not include information that:
- has been or become published or is now or is in the future in the public domain through no action of MINIMUM CODE CULTURE PRIVATE LIMITED;
- prior to disclosure under this Agreement is within the legitimate possession of MINIMUM CODE CULTURE PRIVATE LIMITED, as evidenced by competently written proof;
- was or becomes available to MINIMUM CODE CULTURE PRIVATE LIMITED on a non-confidential basis from a third party not otherwise known
- was or becomes available to Minimum Code Culture Private Limited on a non-confidential basis from a third party not otherwise known to MINIMUM CODE CULTURE PRIVATE LIMITED to be prohibited from transmitting the information to MINIMUM CODE CULTURE PRIVATE LIMITED
- is disclosed with the prior written approval of Client; or
- is transmitted to MINIMUM CODE CULTURE PRIVATE LIMITED after Client has received written notice from MINIMUM CODE CULTURE PRIVATE LIMITED that it does not desire to receive further Confidential Information or that it is terminating this Agreement is disclosed with the prior written approval of Client; or is transmitted to MINIMUM CODE CULTURE PRIVATE LIMITED after Client has received written notice from MINIMUM CODE CULTURE PRIVATE LIMITED that it does not desire to receive further Confidential Information or that it is terminating this Agreement.
